Guideless (“we,” “us,” “our”) provides an AI-powered platform that transforms click-through flows into narrated video guides (the “Service”). By accessing or using our Site (guideless.ai) or Service, you (“You,” “Customer”) agree to these Terms of Service, our Privacy Policy, and any applicable Order Form.

1. Definitions & Scope

“Service” includes the Site, platform, videos, recordings, AI scripts, narration, embed codes, features, and any support.
“Authorized Users” are individuals you permit to access the Service under your account.
These Terms apply to all users: visitors, customers, viewers.

2. Access & License

We grant you a non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes only.
You must ensure Authorized Users comply with these Terms. You’re responsible for actions under your account—even if performed by someone else.

3. Account & Trial Use

You agree to provide accurate and current registration info and safeguard your password.
If you use a trial version, it’s offered “as is” with no warranties. Trial data may be used to improve our Service. We may suspend or end trial access at any time.

4. Content & Intellectual Property

4.1 Your Content

All guides, recordings, and uploads you create belong to you.
We do not claim ownership of your content.
You grant us a limited license to process and display your content solely for the purpose of operating the Service.

4.2 Our Commitments

We will never use your content to train AI models or for unrelated product development, unless you explicitly consent in writing.
We may collect aggregated, anonymized usage statistics to improve performance and security, but these contain no identifiable customer content.

4.3 Guideless IP

All rights, titles, and interests in the Service (excluding your content) remain with Guideless.

5. Usage Restrictions

You must not:

Modify, reverse engineer, or duplicate the Service.
Use it for unlawful, harmful, or high-risk purposes.
Exceed licensed usage or share access without permission.

6. Fees & Payment

Fees are set in the Order Form.
Subscription renews per billing cycle unless cancelled.
Late or non-payment may cause suspension of access, with immediate recovery upon full payment.

7. Term & Termination

Terms are effective upon first use and remain valid until terminated.
Either party may terminate upon material breach or insolvency.
On termination, your access ends immediately; your content will be deleted 90 days later unless exported.

8. Warranties & Disclaimers

We do not warrant the Service is error-free or uninterrupted.
The Service is provided “as is”, without implied warranties of fitness or non-infringement.
Your use is at your own risk.

9. Limitation of Liability

Our liability is limited to the total fees paid in the prior 12 months.
We will not be liable for indirect or consequential damages.

10. Indemnity

You agree to indemnify Guideless for claims arising from your content or misuse of the Service.

11. Changes to Terms

We may update these Terms. We’ll notify you by email or via the Service. Continued use = acceptance.

12. Governing Law & Disputes

Governed by the laws of California (USA).
Disputes resolved in county or federal courts in California.

13. Customer Logos & Marketing

Unless you notify us otherwise in writing, you grant Guideless the right to use your company name and logo to identify you as a customer on our website and in marketing materials.
We will not disclose any non-public information without your prior written consent.

14. Miscellaneous

Entire agreement = these Terms + Privacy Policy + Order Forms.
No waiver unless written.
Severable; if one part is invalid, rest still applies.
Certain clauses (ownership, liability, indemnity) survive termination.
